5. Business Inquiries and Consultations
Submitting a contact form, requesting information, or participating in a consultation does not automatically establish a paid service relationship.
Consultations are intended to evaluate business requirements, discuss potential solutions, and determine suitable next steps.
Any service proposal is subject to the terms and conditions stated in that proposal.
A formal service engagement begins when the relevant agreement or accepted commercial terms establish the relationship.
6. Project Scope and Deliverables
All client projects are subject to an approved scope of work.
The applicable agreement may specify:
- Project objectives
- Required deliverables
- Development specifications
- Project milestones

- Required system access
- Necessary technical documentation
- Timely approvals and feedback

Delays resulting from missing materials, unavailable access, or delayed client approvals may affect project schedules.
Clients are responsible for ensuring that information and materials they provide do not unlawfully infringe third-party rights.
8. Web Development and Software Projects
Website and software development services are delivered according to the approved specifications.
Clients acknowledge that development projects may require testing, revisions, compatibility checks, and technical adjustments.
Website or software performance may depend on hosting infrastructure, external APIs, third-party applications, and other systems.
Unless otherwise stated in the service agreement, IdeaHub does not guarantee compatibility with every device, software version, browser, or third-party technology.
Post-launch maintenance, enhancements, and technical support may require a separate service agreement.
9. Internet Marketing and SEO Services
IdeaHub may provide marketing and search engine optimization services designed to improve website visibility and online performance.
Clients acknowledge that search engine rankings, advertising results, and online engagement are influenced by external factors.
Unless expressly guaranteed in writing, IdeaHub does not promise:
- Specific search engine rankings
- Guaranteed website traffic
- Guaranteed sales or revenue
- Fixed conversion rates
- Guaranteed advertising returns
- Specific lead generation volumes
Marketing performance estimates and projections are not guarantees of future outcomes.
Clients remain responsible for approving advertising content and ensuring compliance with applicable marketing laws and platform requirements.
10. Hosting Services and Technical Availability
Where IdeaHub provides hosting services, the applicable agreement will define hosting resources, service coverage, support responsibilities, and any uptime commitments.
Hosting performance may be affected by:
- Infrastructure maintenance
- Network interruptions
- Third-party service outages
- Cybersecurity incidents
- Software vulnerabilities
- Hardware failures
- Events beyond reasonable operational control
Any uptime guarantee, backup commitment, service credit, recovery obligation, or support response time must be expressly defined in the applicable hosting agreement.
Clients are responsible for maintaining backups and recovery arrangements unless IdeaHub has expressly agreed to provide those services.
11. Cloud Staffing and Remote Personnel
Cloud staffing arrangements are governed by the applicable staffing or service agreement.
The agreement may establish:
- Assigned personnel or service roles
- Working schedules
- Service hours
- Reporting arrangements
- Task responsibilities
- Performance expectations
- Confidentiality requirements
- Replacement or reassignment procedures
- Compensation and billing terms
The nature of any employment, contractor, or service relationship will be determined by the relevant contract and applicable law.
A cloud staffing arrangement does not automatically establish an employment relationship between the client and IdeaHub personnel.
12. Technology Consulting and Ventures
IdeaHub may provide technology consulting and explore strategic business partnerships or venture opportunities.
Consulting recommendations are based on the information available during the relevant engagement.
Unless expressly agreed in writing, consultations do not create a partnership, joint venture, fiduciary relationship, or investment commitment.
Any proposed venture or strategic partnership must be established through a separate written agreement.
IdeaHub does not guarantee that a proposed business initiative will achieve a particular financial or commercial result.
Any regulated investment, financial, or legal services require the appropriate professional qualifications and authorizations.
13. Pricing, Quotations, and Payments
Service prices may be communicated through quotations, proposals, invoices, checkout pages, or written agreements.
Fees may include:
- One-time project charges
- Consultation fees
- Development and implementation fees
- Hosting subscriptions
- Recurring service charges
- Staffing fees
- Maintenance and technical support
- Third-party software licenses
- Approved additional work
Payment schedules and methods are governed by the applicable agreement.
Clients are responsible for paying authorized charges when due.
Additional services or expenses require approval according to the applicable commercial arrangement.
14. Subscription Services and Renewals
Certain hosting, support, staffing, or technology services may be provided through recurring subscriptions.
The relevant agreement will specify billing intervals, renewal terms, cancellation procedures, and applicable service limits.
Automatic renewal applies only where disclosed and authorized under the relevant agreement and applicable law.
Changes to subscription arrangements must be handled through authorized billing or support channels.
15. Cancellation, Refunds, and Termination
Cancellation and refund eligibility depend on the relevant service agreement and applicable laws.
Clients may submit cancellation requests through the contact channels identified in their agreement.
Completed services, authorized expenses, and charges accrued before termination may remain payable, subject to applicable law.
For project-based development, any deposits, milestone payments, or cancellation charges must be governed by the accepted agreement.
For recurring services, the effective cancellation date and any refund entitlement will be determined by the subscription terms accepted at enrollment.
Nothing in these Terms removes statutory cancellation or refund rights that cannot legally be waived.
16. Project Revisions and Change Requests
Revisions may be included as defined in the relevant service agreement.
Changes involving new functionality, additional pages, expanded integrations, or substantial modifications to approved deliverables may require separate approval and charges.
Additional work may also affect delivery timelines.
IdeaHub will coordinate authorized revisions according to the agreed project management process.
17. Intellectual Property
Unless otherwise agreed in writing, the content displayed on the IdeaHub website, including company branding, graphics, text, website designs, and proprietary materials, belongs to IdeaHub or its respective rights holders.
Website visitors may not reproduce, redistribute, sell, or commercially exploit protected materials without appropriate authorization.
Clients retain ownership of materials they lawfully provide.
Clients grant IdeaHub the limited permissions necessary to use those materials for authorized service delivery.
Ownership and licensing of completed websites, software, designs, source code, documentation, and other project deliverables will be determined by the applicable service agreement.
Third-party software, fonts, plugins, stock assets, and licensed components remain subject to their respective licensing conditions.
18. Confidentiality and Data Protection
IdeaHub recognizes that clients may provide confidential business information, customer records, technical specifications, system credentials, and proprietary documents.
Confidential information will be handled according to applicable agreements and legal obligations.
Clients are responsible for ensuring that personal information provided for processing has been lawfully collected and disclosed.
Additional confidentiality or data-processing obligations may be established through a nondisclosure agreement or Data Processing Agreement.
Our handling of personal information is further described in our Privacy Policy.

Third-party services operate under their respective terms, policies, and licensing arrangements.
IdeaHub is not responsible for independent changes to third-party pricing, functionality, availability, or access restrictions beyond our reasonable control.
Clients are responsible for applicable third-party charges unless expressly included in their service agreement.
20. Artificial Intelligence and Automation
IdeaHub may use AI-assisted tools, software automation, and other digital technologies where appropriate for authorized technical or business activities.
AI-assisted outputs may require testing, validation, or professional review.
IdeaHub does not guarantee that AI-generated materials will always be error-free or suitable for every purpose.
Any automated workflow that processes personal or confidential information must comply with applicable privacy obligations and authorized permissions.
Clients remain responsible for reviewing and approving business-critical outputs and decisions unless otherwise established in writing.
21. Service Disclaimers
IdeaHub makes reasonable efforts to provide professional and technically appropriate services.
However, except as expressly specified in written agreements or required by law, our website and general informational materials are provided on an “as available” basis.
We do not guarantee uninterrupted website access, error-free operation, or particular business outcomes.
Any express service warranties will be governed by the applicable contract.
Nothing in these Terms excludes legal protections that cannot lawfully be excluded.
22. Limitation of Liability
To the maximum extent permitted by applicable law, IdeaHub will not be liable for indirect, incidental, special, or consequential damages arising from website use or services, except where liability cannot legally be excluded or an applicable agreement provides otherwise.
Specific limits of financial liability for contracted services will be determined by the governing service agreement.
Nothing in these Terms limits liability for matters that cannot lawfully be restricted.
23. Indemnification
To the extent permitted by law and applicable agreements, clients may be responsible for third-party claims arising from unlawful instructions, unauthorized use of materials, infringement of third-party rights, or misuse of services.
Specific indemnification obligations will be governed by the applicable service agreement.
24. Suspension and Termination of Services
IdeaHub may suspend or terminate services where permitted by law or contract, including situations involving:
- Material breach of contractual obligations
- Failure to make required payments
- Fraudulent or unlawful activities
- Significant security risks
- Unauthorized access or misuse of systems
Termination procedures and resulting obligations will be determined by the applicable agreement and law.
25. Force Majeure
Neither party will be liable for delays or failures caused by circumstances beyond its reasonable control, subject to applicable contracts and laws.
These circumstances may include natural disasters, significant infrastructure failures, government restrictions, or extraordinary disruptions.
Affected parties should take reasonable steps to communicate and minimize the impact of such events where required.
26. Governing Law and Dispute Resolution
Unless a separate written agreement provides otherwise, these Terms are intended to be governed by the laws of the Republic of the Philippines, subject to applicable mandatory legal protections and confirmation of the contracting entity’s jurisdiction.
The parties are encouraged to attempt to resolve concerns through good-faith communication before pursuing formal proceedings.
Any agreed dispute resolution process will be subject to applicable laws and enforceable contractual provisions.
Nothing in these Terms restricts legal rights that cannot lawfully be waived.
27. Changes to These Terms
IdeaHub may revise these Terms to reflect changes in its services, operations, technology, or legal obligations.
The effective date will be updated when revised Terms are published.
Material changes affecting existing paid agreements will be handled according to those agreements and applicable law.
28. Severability
If any provision of these Terms is found invalid or unenforceable, the remaining provisions will continue to apply to the extent permitted by law.
Failure to enforce a provision does not automatically constitute a waiver of that provision.
